1. INTRODUCTION
These Terms of Use and End User License Agreement (collectively, the “Agreement”) constitute a legally binding agreement between you (“you”, “your” or “user”) and PuzzleSoft, S.A., a company registered in Guatemala with its principal address at 23 calle 14-58 z4 de Mixco Condado Naranjo Edificio Crece II Oficina 504 (referred to as the “Company”, “we”, “us”, or “our”).
This Agreement governs your access to and use of the Company’s mobile applications (each, an “App”), and any related services, websites, or features (collectively, the “Services”). By downloading, installing, or using any of our Apps, you acknowledge that you have read, understood, and agreed to be bound by this Agreement. If you do not agree, you must not use the App and should delete it from your device.
2. CHANGES TO THIS AGREEMENT
We reserve the right to modify this Agreement at any time at our sole discretion. When we do, we will update the “Last Updated” date. You are responsible for reviewing this Agreement periodically. Your continued use of the App after changes are posted constitutes your acceptance of the updated terms.
3. SUBSCRIPTIONS
- 3.1 General Information: The App is free to download, providing access to basic features. Premium features are available through optional paid subscriptions (weekly, monthly, or annual) via the Apple App Store or Google Play.
- 3.2 Free Trial: Free trials automatically convert to paid subscriptions unless cancelled at least 24 hours before the trial ends.
- 3.3 Auto-Renewal: All subscriptions renew automatically. Charges will be processed via your Apple or Google account. You can manage or cancel your subscription directly in your account settings.
- 3.4 Pricing Changes: We reserve the right to change subscription fees at any time, with advance notice provided where required by law.
- 3.5 Refunds: All refund requests must be submitted directly to Apple or Google. The Company does not have the ability to process refunds for purchases made through these platforms.
4. LICENSE AND INTELLECTUAL PROPERTY
- 4.1 License Grant: We grant you a limited, non-exclusive, non-transferable, and revocable license for personal, non-commercial use.
- 4.2 Restrictions: You may not copy, modify, distribute, sell, reverse engineer, or decompile the App or any part of its content.
- 4.3 Ownership: All rights, title, and interest in and to the App (source code, design, text, graphics, and trademarks) are the exclusive property of the Company.
5. USER CONDUCT AND AGE RESTRICTIONS
- 5.1 Age Requirement: You represent that you are at least 13 years of age (or the minimum legal age in your country). If you are under 18, you represent that you have permission from your parents or guardians.
- 5.2 Prohibited Uses: You agree not to use the App for any unlawful purpose, upload malicious code, or generate content that violates third-party rights. We reserve the right to terminate your access for any violation of these terms.
6. AVAILABILITY, COMPATIBILITY, AND UPDATES
The App requires a compatible device and an internet connection. We do not guarantee that the App will function without interruptions or errors. We reserve the right to update, modify, or remove features at any time.
Service Interruptions: The Company is not liable for data loss or unavailability due to technical issues, maintenance, or third-party provider failures. You are responsible for backing up your own information.
7. LIMITATION OF LIABILITY AND INDEMNIFICATION
- 7.1 Disclaimer of Warranties: To the maximum extent permitted by law, the App is provided "as is" without any warranties of any kind.
- 7.2 Indemnification: You agree to indemnify and hold harmless PuzzleSoft, S.A. from any claims, damages, or expenses (including legal fees) arising from your use of the App or your violation of this Agreement.
- 7.3 Limitation of Liability: In no event shall the Company’s total liability exceed the amount paid by you for the Services during the past six months.
8. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Guatemala. Any disputes relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Guatemala City, Guatemala.
